Terms & Conditions

These Terms and Conditions ("Terms") govern your access to and use of the MyMember demo application ("Demo App") made available by NEXBIT LAB SDN BHD (Company No. [INSERT REG NO.]), a company incorporated in Malaysia ("MyMember", "we", "us", or "our").

By downloading, installing, or using the Demo App, or by submitting the registration form on our website, you ("Organisation", "you") agree to be bound by these Terms. If you do not agree to these Terms, do not download or use the Demo App.

1. Definitions

1. "Demo App" means the MyMember Android application package (APK) made available for free trial purposes.
2. "Organisation" means the registered NGO, association, club, society, or other body whose authorised representative has completed the registration form.
3. "Admin" means the individual authorised by the Organisation to access and manage the Demo App.
4. "Platform" means the MyMember software platform including the demo environment, web portal, and mobile app.
5. "Demo Period" means the duration for which the Demo App is made available for evaluation purposes as determined by MyMember.

2. Eligibility

1. The Demo App is available to organisations registered under Malaysian law, including societies registered under the Societies Act 1966, companies under the Companies Act 2016, and other legally recognised bodies.
2. You represent and warrant that the individual completing the registration form is duly authorised to act on behalf of the Organisation.
3. You must be at least 18 years of age to register.

3. Free Demo — No Fees

1. The Demo App is provided at no cost during the Demo Period. There are no subscription fees, setup fees, or onboarding fees for the demo.
2. MyMember reserves the right to limit the duration or features of the Demo Period at any time without prior notice.
3. The demo environment may contain pre-loaded sample data for demonstration purposes only.

4. Payment Gateway & Transaction Fees

1. If you process payments through the Platform's integrated payment gateway during the demo, the following transaction fees apply:
   • 5% per transaction for payments collected from registered members of your organisation.
   • 15% per transaction for payments collected from the general public or non-members.
2. These fees are deducted automatically from the transaction amount before settlement to your designated bank account.
3. MyMember is not responsible for any disputes between the Organisation and its members or third parties arising from payment transactions.
4. Settlement of collected funds is subject to MyMember's settlement schedule and bank processing times.
5. By enabling the payment gateway, you confirm that your Organisation has the legal authority to collect such payments and that all collections comply with applicable Malaysian law.

5. Permitted Use

1. The Demo App is provided solely for the purpose of evaluating whether the MyMember platform is suitable for your Organisation's needs.
2. You may use the Demo App to:
   • Explore platform features including member management, event management, announcements, and donation campaigns.
   • Collect real payments from members during the demo period, subject to Clause 4.
   • Assess the platform's suitability prior to subscribing to a paid plan.
3. You must not:
   • Reverse engineer, decompile, or modify the Demo App.
   • Use the Demo App for any unlawful purpose or in violation of any applicable law.
   • Attempt to gain unauthorised access to MyMember's systems or servers.
   • Sublicense, sell, or transfer access to the Demo App to any third party.
   • Use the Demo App in a manner that harms MyMember's reputation or business interests.

6. Intellectual Property

1. The Demo App, including all software, design, content, and trademarks, remains the exclusive property of NEXBIT LAB SDN BHD.
2. These Terms do not grant you any ownership rights in the Platform or the Demo App.
3. The name "MyMember", "MySimpan", and "MyEinvois" and associated logos are trademarks of NEXBIT LAB SDN BHD.

7. Data & Privacy

1. By using the Demo App and submitting the registration form, you consent to the collection and processing of your Organisation's and your personal data as described in our Privacy Policy.
2. Data submitted through the registration form is stored in MyMember's systems and used for onboarding, support, and follow-up communications.
3. Any member data you input into the Demo App is your responsibility. You warrant that you have obtained all necessary consents under the Personal Data Protection Act 2010 (PDPA 2010) before inputting member data into the Platform.
4. MyMember will handle all data in accordance with the PDPA 2010 and our Privacy Policy.

8. Disclaimer of Warranties

1. The Demo App is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied.
2. MyMember does not warrant that the Demo App will be error-free, uninterrupted, or fit for any particular purpose.
3. MyMember reserves the right to modify, suspend, or discontinue the Demo App at any time without liability.

9. Limitation of Liability

1. To the maximum extent permitted by Malaysian law, MyMember shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Demo App.
2. MyMember's total liability to you in connection with the Demo App shall not exceed RM 0 (zero), as the Demo App is provided free of charge.
3. Nothing in these Terms limits liability for fraud, death, or personal injury caused by negligence.

10. Termination

1. MyMember may terminate your access to the Demo App at any time and for any reason, without prior notice.
2. You may stop using the Demo App at any time by uninstalling it from your device.
3. Upon termination, your right to use the Demo App ceases immediately.
4. Clauses 6, 7, 9, and 12 shall survive termination.

11. Transition to Paid Plans

1. If you choose to upgrade to a paid plan after the demo, separate terms and a formal Organisation Sign-Up Agreement will apply.
2. Paid plans are subject to subscription fees, a one-time onboarding fee, and the transaction fees described in Clause 4.
3. MyMember will contact you using the details provided in the registration form to facilitate onboarding.

12. Governing Law & Dispute Resolution

1. These Terms are governed by and construed in accordance with the laws of Malaysia.
2. Any dispute arising out of or in connection with these Terms shall first be referred to mediation. If unresolved within 30 days, the dispute shall be submitted to the exclusive jurisdiction of the courts of Malaysia.

13. Amendments

1. MyMember reserves the right to amend these Terms at any time. Updated Terms will be posted on our website at www.mymember.my/terms.html.
2. Continued use of the Demo App after any update constitutes acceptance of the revised Terms.

14. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and MyMember in relation to the Demo App and supersede all prior representations, agreements, or understandings.
